Subject matter of the contract, services, sources<\/b><\/h2>\n<p><\/p>\n<ol start=\"1\">\n<li>\n<p class=\"p1\">The provider shall render <span class=\"s1\"><b>market and competition-related research and consulting services<\/b><\/span>, including analyses, due diligence-related assessments, monitoring, workshops, and the <span class=\"s1\"><b>creation of deliverables<\/b><\/span> (in particular reports\/presentations in PDF format, summarized data extracts in aggregated form).<\/p>\n<\/li>\n<li>\n<p class=\"p1\"><span class=\"s1\"><b>Data sources<\/b><\/span> are exclusively <span class=\"s1\"><b>legally accessible sources<\/b><\/span>. Terms of use\/license conditions of the sources (including robots.txt, API-AUP, database EULAs) are observed.<\/p>\n<\/li>\n<li>\n<p class=\"p1\"><span class=\"s1\"><b>Raw\/individual data<\/b><\/span> is <span class=\"s1\"><b>not<\/b><\/span> owed. The customer receives <span class=\"s1\"><b>aggregated results<\/b><\/span> with <span class=\"s1\"><b>read access via PDF<\/b><\/span>; further processing rights or disclosure of source lists\/raw data only exist if contractually agreed.<\/p>\n<\/li>\n<li>\n<p class=\"p1\">The provider uses <span class=\"s1\"><b>third-party tools<\/b><\/span> (e.g. <span class=\"s1\"><b>OpenAI, Google Gemini, Perplexity, Hostinger<\/b><\/span>). Details can be found in the offer\/GTC\/attachments.<\/p>\n<\/li>\n<\/ol>\n<p><\/p>\n<h2><b>3. Offer, conclusion of contract, start conditions<\/b><\/h2>\n<p><\/p>\n<ol start=\"1\">\n<li>\n<p class=\"p1\">Offers made by the provider are subject to change without notice, unless expressly designated as binding.<\/p>\n<\/li>\n<li>\n<p class=\"p1\">A contract is concluded by <span class=\"s1\"><b>order<\/b><\/span> by the customer (<span class=\"s1\"><b>PO<\/b><\/span>, email order, or signed order) and <span class=\"s1\"><b>confirmation<\/b><\/span> by the provider.<\/p>\n<\/li>\n<li>\n<p class=\"p1\"><span class=\"s1\"><b>The starting condition<\/b><\/span> is the <span class=\"s1\"><b>receipt of a deposit of 30\u201350%<\/b><\/span> (depending on the order volume) and the provision of the necessary information\/access in accordance with Section 4.<\/p>\n<\/li>\n<\/ol>\n<p><\/p>\n<h2><b>4. Customer&#8217;s obligations to cooperate<\/b><\/h2>\n<p><\/p>\n<ol start=\"1\">\n<li>\n<p class=\"p1\">The customer shall designate a <span class=\"s1\"><b>contact person with decision-making authority<\/b><\/span> and provide the necessary briefings, data access, and clarifications <span class=\"s1\"><b>promptly<\/b><\/span>, usually <span class=\"s1\"><b>within 2 business days<\/b><\/span>.<\/p>\n<\/li>\n<li>\n<p class=\"p1\">The customer <span class=\"s1\"><b>assures<\/b><\/span> that they have the necessary <span class=\"s1\"><b>rights<\/b><\/span> to all materials\/data provided and <span class=\"s1\"><b>indemnifies the provider<\/b><\/span> against any third-party claims arising from a possible infringement of rights.<\/p>\n<\/li>\n<\/ol>\n<p><\/p>\n<h2><b>5. Deadlines, scope of services, changes<\/b><\/h2>\n<p><\/p>\n<ol start=\"1\">\n<li>\n<p class=\"p1\">Deadlines and scope of services are specified in the offer\/order confirmation.<\/p>\n<\/li>\n<li>\n<p class=\"p1\"><span class=\"s1\"><b>Change requests<\/b><\/span> shall be confirmed with an <span class=\"s1\"><b>cost estimate<\/b><\/span> prior to implementation and invoiced <span class=\"s1\"><b>at an hourly rate<\/b><\/span>.<\/p>\n<\/li>\n<li>\n<p class=\"p1\">Separate cancellation\/postponement rules apply to workshops\/face-to-face events (Section 14).<\/p>\n<\/li>\n<\/ol>\n<p><\/p>\n<h2><b>6. Remuneration, prices, payment, default of payment<\/b><\/h2>\n<p><\/p>\n<ol start=\"1\">\n<li>\n<p class=\"p1\"><span class=\"s1\"><b>Hourly rate from \u20ac150<\/b><\/span> (net). <span class=\"s1\"><b>Basic packages<\/b><\/span>: 20 hours\/40 hours; <span class=\"s1\"><b>Extension packages<\/b><\/span>: 20 hours each; <span class=\"s1\"><b>Retainer<\/b><\/span>: S = 10 hours\/month, M = 20 hours\/month, L = 30 hours\/month. All prices <span class=\"s1\"><b>plus statutory VAT<\/b><\/span> (currently 19%).<\/p>\n<\/li>\n<li>\n<p class=\"p1\"><span class=\"s1\"><b>Payment terms:<\/b><\/span> <span class=\"s1\"><b>8 days net<\/b><\/span> from the invoice date. <span class=\"s1\"><b>Payment methods:<\/b><\/span> Invoice\/bank transfer\/PayPal.<\/p>\n<\/li>\n<li>\n<p class=\"p1\"><span class=\"s1\"><b>Delay:<\/b><\/span> Payment reminder after 5 days, warning after 10 days. In the event of default, the provider is entitled to impose a <span class=\"s1\"><b>processing stop<\/b><\/span> and to <span class=\"s1\"><b>block access\/results<\/b><\/span> as well as to charge default interest\/costs.<\/p>\n<\/li>\n<li>\n<p class=\"p1\"><span class=\"s1\"><b>External costs<\/b><\/span> (e.g., database\/API fees, travel\/expenses) shall be borne by the <span class=\"s1\"><b>client<\/b><\/span> upon presentation of evidence.<\/p>\n<\/li>\n<li>\n<p class=\"p1\"><span class=\"s1\"><b>Annual price adjustment<\/b><\/span>: The provider may adjust fees <span class=\"s1\"><b>once a year<\/b><\/span> with <span class=\"s1\"><b>4 weeks&#8217; advance notice<\/b><\/span> to a reasonable extent (e.g., increased personnel\/license\/infrastructure costs, consumer price index). If the increase exceeds <span class=\"s1\"><b>5%<\/b><\/span>, the customer has a <span class=\"s1\"><b>special right of termination<\/b><\/span> upon the adjustment taking effect.<\/p>\n<\/li>\n<\/ol>\n<p><\/p>\n<h2><b>7. Acceptance, reviews<\/b><\/h2>\n<p><\/p>\n<ol start=\"1\">\n<li>\n<p class=\"p1\">If acceptance is required, the customer shall receive up to <span class=\"s1\"><b>2 review loops<\/b><\/span>.<\/p>\n<\/li>\n<li>\n<p class=\"p1\">The customer shall review the service <span class=\"s1\"><b>within 1 week<\/b><\/span> of its provision. If no <span class=\"s1\"><b>substantiated notice of defects<\/b><\/span> is given within this period, the service shall be deemed to have been <span class=\"s1\"><b>accepted<\/b><\/span> (tacit acceptance).<\/p>\n<\/li>\n<li>\n<p class=\"p1\"><span class=\"s1\"><b>Use<\/b><\/span> of the deliverables prior to formal acceptance shall be deemed <span class=\"s1\"><b>acceptance<\/b><\/span>.<\/p>\n<\/li>\n<\/ol>\n<p><\/p>\n<h2><b>8. Rights of use, copyright and trademark protection<\/b><\/h2>\n<p><\/p>\n<ol start=\"1\">\n<li>\n<p class=\"p1\">All <span class=\"s1\"><b>copyrights and property rights<\/b><\/span> to work results remain with the provider.<\/p>\n<\/li>\n<li>\n<p class=\"p1\">After full payment, the customer receives a <span class=\"s1\"><b>simple, non-transferable, perpetual<\/b><\/span> <span class=\"s1\"><b>license for internal use<\/b><\/span>, including internal use within the customer&#8217;s <span class=\"s1\"><b>group<\/b><\/span> of the customer.<\/p>\n<\/li>\n<li>\n<p class=\"p1\">Any <span class=\"s1\"><b>transfer<\/b><\/span> to third parties, publication, or editing is only permitted with the consent of the provider, unless mandatory law prohibits this. <span class=\"s1\"><b>Protection notices\/copyright notices<\/b><\/span> may not be removed.<\/p>\n<\/li>\n<li>\n<p class=\"p1\"><span class=\"s1\"><b>Open-source\/third-party components<\/b><\/span> remain subject to their license terms.<\/p>\n<\/li>\n<\/ol>\n<p><\/p>\n<h2><b>9. References<\/b><\/h2>\n<p><\/p>\n<p class=\"p3\">The customer may be named as a <span class=\"s2\"><b>reference<\/b><\/span> (logo, short text) <span class=\"s2\"><b>only with the prior approval<\/b><\/span> of the customer; an <span class=\"s2\"><b>opt-out<\/b><\/span> can be declared in writing at any time.<\/p>\n<h2><b>10. Warranty, nature of services<\/b><\/h2>\n<p><\/p>\n<ol start=\"1\">\n<li>\n<p class=\"p1\"><span class=\"s1\">The provider&#8217;s services serve as <\/span><b>decision support<\/b><span class=\"s1\">. They do not constitute <\/span><b>legal, tax, or financial advice<\/b><span class=\"s1\">. <\/span><\/p>\n<\/li>\n<li>\n<p class=\"p1\"><span class=\"s1\">Results are based on <\/span><b>third-party sources<\/b><span class=\"s1\"> and <\/span><b>forecasts<\/b><span class=\"s1\">; no <\/span><b>guarantee of completeness, timeliness, or accuracy<\/b><span class=\"s1\"> is given. The customer shall verify the results before using them. Liability<\/span><\/p>\n<ol start=\"1\">\n<li>\n<p class=\"p1\"><span class=\"s1\">The provider is liable <\/span><b>without limitation<\/b><span class=\"s1\"> in cases of <\/span><b>intent<\/b><span class=\"s1\">, <\/span><b>gross negligence<\/b><span class=\"s1\">, for damages resulting from <\/span><b>injury to life, limb, or health<\/b><span class=\"s1\">, as well as under the <\/span><b>Product Liability Act<\/b><span class=\"s1\">.<\/span><\/p>\n<\/li>\n<li>\n<p class=\"p1\"><span class=\"s1\">In the case of <\/span><b>slight negligence<\/b><span class=\"s1\">, the provider shall be liable <\/span><b>only<\/b><span class=\"s1\"> for breach of <\/span><b>essential contractual obligations (cardinal obligations)<\/b><span class=\"s1\">; liability shall be limited to the span&gt;<b>damage typical for this type of contract and foreseeable at the time the contract was concluded<\/b><span class=\"s1\">, <\/span><b>capped at the respective project price<\/b><span class=\"s1\">. <\/span><\/span><\/p>\n<\/li>\n<li>\n<p class=\"p1\">Otherwise, liability for slight negligence is <span class=\"s1\"><b>excluded<\/b><\/span>.<\/p>\n<\/li>\n<li>\n<p class=\"p1\"><span class=\"s1\"><b>Limitation period<\/b><\/span> for contractual claims for defects: <span class=\"s1\"><b>3 months from acceptance<\/b><\/span>.<\/p>\n<\/li>\n<\/ol>\n<p><\/p>\n<h2><b>12. Confidentiality, secrecy<\/b><\/h2>\n<p><\/p>\n<ol start=\"1\">\n<li>\n<p class=\"p1\">Both parties shall maintain <span class=\"s1\"><b>confidentiality<\/b><\/span> regarding non-public information and trade secrets of the other party.<\/p>\n<\/li>\n<li>\n<p class=\"p1\">This obligation shall remain in effect <span class=\"s1\"><b>indefinitely<\/b><\/span> beyond the end of the contract. Statutory disclosure obligations remain unaffected.<\/p>\n<\/li>\n<\/ol>\n<p><\/p>\n<h2><b>13. Data protection, roles, AVV, LLM use<\/b><\/h2>\n<p><\/p>\n<ol start=\"1\">\n<li>\n<p class=\"p1\">The parties determine the <span class=\"s1\"><b>role model<\/b><\/span> (controller\/processor) <span class=\"s1\"><b>on a case-by-case basis<\/b><\/span>.<\/p>\n<\/li>\n<li>\n<p class=\"p1\"><span class=\"s1\">Insofar as the provider <\/span><b>processes personal data on behalf of<\/b><span class=\"s1\"> the customer, the parties shall conclude a <\/span><b>data processing agreement (DPA)<\/b><span class=\"s1\"> in advance in accordance with Art. 28 GDPR (including <\/span><b>subprocessor list<\/b><span class=\"s1\">: <\/span><b>OpenAI, Google (Gemini), Perplexity, Hostinger).<\/b><\/p>\n<\/li>\n<\/ol>\n<p><\/li>\n<p> \t<\/p>\n<li>\n<p class=\"p1\"><span class=\"s1\"><b>Data location:<\/b><\/span> Personal data is <span class=\"s1\"><b>generally processed within the EEA<\/b><\/span>. Processing in <span class=\"s1\"><b>third countries<\/b><\/span> only takes place with <span class=\"s1\"><b>appropriate safeguards<\/b><\/span> (e.g., EU standard contractual clauses) and, if necessary, after <span class=\"s1\"><b>prior information\/consent<\/b><\/span> from the customer.<\/p>\n<\/li>\n<p> \t<\/p>\n<li>\n<p class=\"p1\"><span class=\"s1\"><b>LLM training:<\/b><\/span> <span class=\"s1\"><b>No<\/b><\/span> use of customer data for <span class=\"s1\"><b>training<\/b><\/span> public models without <span class=\"s1\"><b>express consent<\/b><\/span>.<\/p>\n<\/li>\n<p> \t<\/p>\n<li>\n<p class=\"p1\">The provider primarily processes <span class=\"s1\"><b>publicly available data<\/b><\/span>; the responsibility for the <span class=\"s1\"><b>legal basis for use<\/b><\/span> for the specific purpose lies with the customer, insofar as the customer determines the purposes\/means.<\/p>\n<\/li>\n<p><\/ol>\n<p><\/p>\n<h2><b>14. Cancellation, postponement (workshops\/face-to-face appointments\/project termination)<\/b><\/h2>\n<p><\/p>\n<ol start=\"1\">\n<li>\n<p class=\"p1\"><span class=\"s1\"><b>Fixed dates<\/b><\/span> (workshops, on-site services):<\/p>\n<ul>\n<li>\n<p class=\"p1\">Cancellation <span class=\"s1\"><b>0\u20137 calendar days<\/b><\/span> before the date: <span class=\"s1\"><b>100%<\/b><\/span> of the fee,<\/p>\n<\/li>\n<li>\n<p class=\"p1\"><span class=\"s1\">Cancellation <\/span><b>8\u201314 calendar days<\/b><span class=\"s1\">: <\/span><b>50%<\/b><span class=\"s1\">,<\/span><\/p>\n<\/li>\n<li>\n<p class=\"p1\">Later postponements are treated as cancellations unless a replacement date can be found within 30 days. Proven lesser damages remain unaffected. p&gt;<\/p>\n<\/li>\n<\/ul>\n<\/li>\n<li>\n<p class=\"p1\"><span class=\"s1\"><b>Project termination by the customer<\/b><\/span> after kick-off: Compensation for the <span class=\"s1\"><b>work performed up to that point<\/b><\/span> <span class=\"s1\"><b>plus<\/b><\/span> <span class=\"s1\"><b>25%<\/b><\/span> of the <span class=\"s1\"><b>remaining<\/b><\/span> agreed project price as a lump-sum compensation (proof of lesser damage possible).<\/p>\n<\/li>\n<\/ol>\n<p><\/p>\n<h2><b>15. Force Majeure (Force Majeure)<\/b><\/h2>\n<p><\/p>\n<ol start=\"1\">\n<li>\n<p class=\"p1\">Events beyond reasonable control (including natural disasters, war, terrorism, pandemics\/epidemics, official measures, general labor disputes, large-scale power\/network failures, significant cyber attacks) shall release the affected party from its performance obligations for the duration\/scope of the impairment; deadlines (including any SLA obligations) <span class=\"s1\"><b>shall be extended<\/b><\/span> appropriately. &gt;The affected party shall immediately inform the other party of the nature, duration, and effects of the impairment and shall take reasonable measures to mitigate\/circumvent the damage. &gt;<span class=\"s1\"><b>If<\/b><\/span> the impairment lasts longer than <span class=\"s1\"><b>6 weeks<\/b><\/span>, each party shall be entitled to <span class=\"s1\"><b>extraordinary termination<\/b><\/span> of the affected part of the contract or, if partial performance is economically unreasonable, of the entire contract.<\/p>\n<\/li>\n<li>\n<p class=\"p1\">Payment\/indemnification obligations remain unaffected, unless the main service is objectively impossible.<\/p>\n<\/li>\n<\/ol>\n<p><\/p>\n<h2><b>16. No-poaching \/ non-solicitation clause<\/b><\/h2>\n<p><\/p>\n<p class=\"p3\">The customer undertakes <span class=\"s2\"><b>employees\/contractors<\/b><\/span> of the provider <span class=\"s2\"><b>either directly or indirectly<\/b><\/span> or to employ them \u2013 <span class=\"s2\"><b>during the term of the contract and for 6 months<\/b><\/span> thereafter. Statutory claims for damages remain unaffected.<\/p>\n<h2><b>17. Export control, sanctions<\/b><\/h2>\n<p><\/p>\n<p class=\"p3\">The customer warrants that it will <span class=\"s2\"><b>not<\/b><\/span> export services\/results to countries subject to sanctions\/to listed persons or use them in such a way that <span class=\"s2\"><b>export\/sanctions law<\/b><\/span> would be violated.<\/p>\n<h2><b>18. Changes to the General Terms and Conditions<\/b><\/h2>\n<p><\/p>\n<p class=\"p3\">The provider may amend these General Terms and Conditions <span class=\"s2\"><b>with future effect<\/b><\/span>. The customer will be notified of any changes in <span class=\"s2\"><b>text form<\/b><\/span>. If the customer does not object to the changes <span class=\"s2\"><b>within 4 weeks<\/b><\/span> or continues to use the services, the changes shall be deemed <span class=\"s2\"><b>approved<\/b><\/span>; the provider shall indicate this in the notification. In the event of <span class=\"s2\"><b>significant<\/b><\/span> changes, the customer shall have a <span class=\"s2\"><b>special right of termination<\/b><\/span>.<\/p>\n<h2><b>19. Assignment, retention<\/b><\/h2>\n<p><\/p>\n<ol start=\"1\">\n<li>\n<p class=\"p1\">The provider is entitled to assign <span class=\"s1\"><b>monetary claims<\/b><\/span> to third parties.<\/p>\n<\/li>\n<li>\n<p class=\"p1\"><span class=\"s1\">The customer shall only be entitled to a <\/span><b>right of retention<\/b><span class=\"s1\"> on the basis of <\/span><b>undisputed or legally established<\/b><span class=\"s1\">counterclaims.<\/span><\/p>\n<\/li>\n<\/ol>\n<p><\/p>\n<h2><b>20. Final provisions<\/b><\/h2>\n<p><\/p>\n<ol start=\"1\">\n<li>\n<p class=\"p1\"><span class=\"s1\"><b>Choice of law:<\/b><\/span> <span class=\"s1\"><b>German law<\/b><\/span> applies, excluding the UN Convention on Contracts for the International Sale of Goods. &gt;<b>Place of jurisdiction<\/b><span class=\"s1\"> for merchants, etc. is the <\/span><b>registered office of the provider<\/b><span class=\"s1\">.<\/span><\/p>\n<\/li>\n<li>\n<p class=\"p1\"><span class=\"s1\"><b>Text form<\/b><\/span> is sufficient for declarations unless written form is mandatory.<\/p>\n<\/li>\n<li>\n<p class=\"p1\"><span class=\"s1\"><b>Severability clause:<\/b><\/span> Should any provision be or become invalid, the validity of the remaining provisions shall remain unaffected.
