1. Provider, scope of application, contract language<\/b><\/h2>\n

    2. Subject matter of the contract, services, sources<\/b><\/h2>\n

      The provider shall render market and competition-related research and consulting services<\/b><\/span>, including analyses, due diligence-related assessments, monitoring, workshops, and the creation of deliverables<\/b><\/span> (in particular reports\/presentations in PDF format, summarized data extracts in aggregated form).<\/p>\n<\/li>\n

    2. \n

      Data sources<\/b><\/span> are exclusively legally accessible sources<\/b><\/span>. Terms of use\/license conditions of the sources (including robots.txt, API-AUP, database EULAs) are observed.<\/p>\n<\/li>\n

    3. \n

      Raw\/individual data<\/b><\/span> is not<\/b><\/span> owed. The customer receives aggregated results<\/b><\/span> with read access via PDF<\/b><\/span>; further processing rights or disclosure of source lists\/raw data only exist if contractually agreed.<\/p>\n<\/li>\n

    4. \n

      The provider uses third-party tools<\/b><\/span> (e.g. OpenAI, Google Gemini, Perplexity, Hostinger<\/b><\/span>). Details can be found in the offer\/GTC\/attachments.<\/p>\n<\/li>\n<\/ol>\n

      3. Offer, conclusion of contract, start conditions<\/b><\/h2>\n

        Offers made by the provider are subject to change without notice, unless expressly designated as binding.<\/p>\n<\/li>\n

        A contract is concluded by order<\/b><\/span> by the customer (PO<\/b><\/span>, email order, or signed order) and confirmation<\/b><\/span> by the provider.<\/p>\n<\/li>\n

        The starting condition<\/b><\/span> is the receipt of a deposit of 30\u201350%<\/b><\/span> (depending on the order volume) and the provision of the necessary information\/access in accordance with Section 4.<\/p>\n<\/li>\n<\/ol>\n

        4. Customer’s obligations to cooperate<\/b><\/h2>\n

          The customer shall designate a contact person with decision-making authority<\/b><\/span> and provide the necessary briefings, data access, and clarifications promptly<\/b><\/span>, usually within 2 business days<\/b><\/span>.<\/p>\n<\/li>\n

          The customer assures<\/b><\/span> that they have the necessary rights<\/b><\/span> to all materials\/data provided and indemnifies the provider<\/b><\/span> against any third-party claims arising from a possible infringement of rights.<\/p>\n<\/li>\n<\/ol>\n

          5. Deadlines, scope of services, changes<\/b><\/h2>\n

            Change requests<\/b><\/span> shall be confirmed with an cost estimate<\/b><\/span> prior to implementation and invoiced at an hourly rate<\/b><\/span>.<\/p>\n<\/li>\n

            Separate cancellation\/postponement rules apply to workshops\/face-to-face events (Section 14).<\/p>\n<\/li>\n<\/ol>\n

            6. Remuneration, prices, payment, default of payment<\/b><\/h2>\n

              Hourly rate from \u20ac150<\/b><\/span> (net). Basic packages<\/b><\/span>: 20 hours\/40 hours; Extension packages<\/b><\/span>: 20 hours each; Retainer<\/b><\/span>: S = 10 hours\/month, M = 20 hours\/month, L = 30 hours\/month. All prices plus statutory VAT<\/b><\/span> (currently 19%).<\/p>\n<\/li>\n

              Payment terms:<\/b><\/span> 8 days net<\/b><\/span> from the invoice date. Payment methods:<\/b><\/span> Invoice\/bank transfer\/PayPal.<\/p>\n<\/li>\n

            3. \n

              Delay:<\/b><\/span> Payment reminder after 5 days, warning after 10 days. In the event of default, the provider is entitled to impose a processing stop<\/b><\/span> and to block access\/results<\/b><\/span> as well as to charge default interest\/costs.<\/p>\n<\/li>\n

            4. \n

              External costs<\/b><\/span> (e.g., database\/API fees, travel\/expenses) shall be borne by the client<\/b><\/span> upon presentation of evidence.<\/p>\n<\/li>\n

            5. \n

              Annual price adjustment<\/b><\/span>: The provider may adjust fees once a year<\/b><\/span> with 4 weeks’ advance notice<\/b><\/span> to a reasonable extent (e.g., increased personnel\/license\/infrastructure costs, consumer price index). If the increase exceeds 5%<\/b><\/span>, the customer has a special right of termination<\/b><\/span> upon the adjustment taking effect.<\/p>\n<\/li>\n<\/ol>\n

              7. Acceptance, reviews<\/b><\/h2>\n

                If acceptance is required, the customer shall receive up to 2 review loops<\/b><\/span>.<\/p>\n<\/li>\n

                The customer shall review the service within 1 week<\/b><\/span> of its provision. If no substantiated notice of defects<\/b><\/span> is given within this period, the service shall be deemed to have been accepted<\/b><\/span> (tacit acceptance).<\/p>\n<\/li>\n

                Use<\/b><\/span> of the deliverables prior to formal acceptance shall be deemed acceptance<\/b><\/span>.<\/p>\n<\/li>\n<\/ol>\n

                8. Rights of use, copyright and trademark protection<\/b><\/h2>\n

                  All copyrights and property rights<\/b><\/span> to work results remain with the provider.<\/p>\n<\/li>\n

                  After full payment, the customer receives a simple, non-transferable, perpetual<\/b><\/span> license for internal use<\/b><\/span>, including internal use within the customer’s group<\/b><\/span> of the customer.<\/p>\n<\/li>\n

                3. \n

                  Any transfer<\/b><\/span> to third parties, publication, or editing is only permitted with the consent of the provider, unless mandatory law prohibits this. Protection notices\/copyright notices<\/b><\/span> may not be removed.<\/p>\n<\/li>\n

                4. \n

                  Open-source\/third-party components<\/b><\/span> remain subject to their license terms.<\/p>\n<\/li>\n<\/ol>\n

                  <\/p>\n

                  9. References<\/b><\/h2>\n

                  <\/p>\n

                  The customer may be named as a reference<\/b><\/span> (logo, short text) only with the prior approval<\/b><\/span> of the customer; an opt-out<\/b><\/span> can be declared in writing at any time.<\/p>\n

                  10. Warranty, nature of services<\/b><\/h2>\n

                  <\/p>\n

                    \n
                  1. \n

                    The provider’s services serve as <\/span>decision support<\/b>. They do not constitute <\/span>legal, tax, or financial advice<\/b>. <\/span><\/p>\n<\/li>\n

                  2. \n

                    Results are based on <\/span>third-party sources<\/b> and <\/span>forecasts<\/b>; no <\/span>guarantee of completeness, timeliness, or accuracy<\/b> is given. The customer shall verify the results before using them. Liability<\/span><\/p>\n

                      \n
                    1. \n

                      The provider is liable <\/span>without limitation<\/b> in cases of <\/span>intent<\/b>, <\/span>gross negligence<\/b>, for damages resulting from <\/span>injury to life, limb, or health<\/b>, as well as under the <\/span>Product Liability Act<\/b>.<\/span><\/p>\n<\/li>\n

                    2. \n

                      In the case of <\/span>slight negligence<\/b>, the provider shall be liable <\/span>only<\/b> for breach of <\/span>essential contractual obligations (cardinal obligations)<\/b>; liability shall be limited to the span>damage typical for this type of contract and foreseeable at the time the contract was concluded<\/b>, <\/span>capped at the respective project price<\/b>. <\/span><\/span><\/p>\n<\/li>\n

                    3. \n

                      Otherwise, liability for slight negligence is excluded<\/b><\/span>.<\/p>\n<\/li>\n

                    4. \n

                      Limitation period<\/b><\/span> for contractual claims for defects: 3 months from acceptance<\/b><\/span>.<\/p>\n<\/li>\n<\/ol>\n

                      <\/p>\n

                      12. Confidentiality, secrecy<\/b><\/h2>\n

                      <\/p>\n

                        Both parties shall maintain confidentiality<\/b><\/span> regarding non-public information and trade secrets of the other party.<\/p>\n<\/li>\n

                        This obligation shall remain in effect indefinitely<\/b><\/span> beyond the end of the contract. Statutory disclosure obligations remain unaffected.<\/p>\n<\/li>\n<\/ol>\n

                        13. Data protection, roles, AVV, LLM use<\/b><\/h2>\n

                        <\/p>\n

                          The parties determine the role model<\/b><\/span> (controller\/processor) on a case-by-case basis<\/b><\/span>.<\/p>\n<\/li>\n

                        2. \n

                          Insofar as the provider <\/span>processes personal data on behalf of<\/b> the customer, the parties shall conclude a <\/span>data processing agreement (DPA)<\/b> in advance in accordance with Art. 28 GDPR (including <\/span>subprocessor list<\/b>: <\/span>OpenAI, Google (Gemini), Perplexity, Hostinger).<\/b><\/p>\n<\/li>\n<\/ol>\n

                        3. \n

                          Data location:<\/b><\/span> Personal data is generally processed within the EEA<\/b><\/span>. Processing in third countries<\/b><\/span> only takes place with appropriate safeguards<\/b><\/span> (e.g., EU standard contractual clauses) and, if necessary, after prior information\/consent<\/b><\/span> from the customer.<\/p>\n<\/li>\n

                        4. \n

                          LLM training:<\/b><\/span> No<\/b><\/span> use of customer data for training<\/b><\/span> public models without express consent<\/b><\/span>.<\/p>\n<\/li>\n

                          \t<\/p>\n

                        5. \n

                          The provider primarily processes publicly available data<\/b><\/span>; the responsibility for the legal basis for use<\/b><\/span> for the specific purpose lies with the customer, insofar as the customer determines the purposes\/means.<\/p>\n<\/li>\n

                          <\/ol>\n

                          <\/p>\n

                          14. Cancellation, postponement (workshops\/face-to-face appointments\/project termination)<\/b><\/h2>\n

                          <\/p>\n

                            Fixed dates<\/b><\/span> (workshops, on-site services):<\/p>\n

                              \n
                            • \n

                              Cancellation 0\u20137 calendar days<\/b><\/span> before the date: 100%<\/b><\/span> of the fee,<\/p>\n<\/li>\n

                              Cancellation <\/span>8\u201314 calendar days<\/b>: <\/span>50%<\/b>,<\/span><\/p>\n<\/li>\n

                            • \n

                              Later postponements are treated as cancellations unless a replacement date can be found within 30 days. Proven lesser damages remain unaffected. p><\/p>\n<\/li>\n<\/ul>\n<\/li>\n

                            • \n

                              Project termination by the customer<\/b><\/span> after kick-off: Compensation for the work performed up to that point<\/b><\/span> plus<\/b><\/span> 25%<\/b><\/span> of the remaining<\/b><\/span> agreed project price as a lump-sum compensation (proof of lesser damage possible).<\/p>\n<\/li>\n<\/ol>\n

                              <\/p>\n

                              15. Force Majeure (Force Majeure)<\/b><\/h2>\n

                              <\/p>\n

                                Events beyond reasonable control (including natural disasters, war, terrorism, pandemics\/epidemics, official measures, general labor disputes, large-scale power\/network failures, significant cyber attacks) shall release the affected party from its performance obligations for the duration\/scope of the impairment; deadlines (including any SLA obligations) shall be extended<\/b><\/span> appropriately. >The affected party shall immediately inform the other party of the nature, duration, and effects of the impairment and shall take reasonable measures to mitigate\/circumvent the damage. >If<\/b><\/span> the impairment lasts longer than 6 weeks<\/b><\/span>, each party shall be entitled to extraordinary termination<\/b><\/span> of the affected part of the contract or, if partial performance is economically unreasonable, of the entire contract.<\/p>\n<\/li>\n

                              2. \n

                                Payment\/indemnification obligations remain unaffected, unless the main service is objectively impossible.<\/p>\n<\/li>\n<\/ol>\n

                                <\/p>\n

                                16. No-poaching \/ non-solicitation clause<\/b><\/h2>\n

                                <\/p>\n

                                The customer undertakes employees\/contractors<\/b><\/span> of the provider either directly or indirectly<\/b><\/span> or to employ them \u2013 during the term of the contract and for 6 months<\/b><\/span> thereafter. Statutory claims for damages remain unaffected.<\/p>\n

                                17. Export control, sanctions<\/b><\/h2>\n

                                <\/p>\n

                                The customer warrants that it will not<\/b><\/span> export services\/results to countries subject to sanctions\/to listed persons or use them in such a way that export\/sanctions law<\/b><\/span> would be violated.<\/p>\n

                                18. Changes to the General Terms and Conditions<\/b><\/h2>\n

                                <\/p>\n

                                The provider may amend these General Terms and Conditions with future effect<\/b><\/span>. The customer will be notified of any changes in text form<\/b><\/span>. If the customer does not object to the changes within 4 weeks<\/b><\/span> or continues to use the services, the changes shall be deemed approved<\/b><\/span>; the provider shall indicate this in the notification. In the event of significant<\/b><\/span> changes, the customer shall have a special right of termination<\/b><\/span>.<\/p>\n

                                19. Assignment, retention<\/b><\/h2>\n

                                <\/p>\n

                                  The provider is entitled to assign monetary claims<\/b><\/span> to third parties.<\/p>\n<\/li>\n

                                2. \n

                                  The customer shall only be entitled to a <\/span>right of retention<\/b> on the basis of <\/span>undisputed or legally established<\/b>counterclaims.<\/span><\/p>\n<\/li>\n<\/ol>\n

                                  <\/p>\n

                                  20. Final provisions<\/b><\/h2>\n

                                  <\/p>\n

                                    Choice of law:<\/b><\/span> German law<\/b><\/span> applies, excluding the UN Convention on Contracts for the International Sale of Goods. >Place of jurisdiction<\/b> for merchants, etc. is the <\/span>registered office of the provider<\/b>.<\/span><\/p>\n<\/li>\n

                                    Severability clause:<\/b><\/span> Should any provision be or become invalid, the validity of the remaining provisions shall remain unaffected.
